Business Organizations and Foreign Investment
Our firm provides consulting in the implementation of business groups and organizations in general, such as corporations, limited liability companies and joint ventures, particularly in designing the power and management structure.
As for foreign companies who wish to set up business or invest in Brazil, we provide consulting services in investing, which includes information on registration procedures at the Central Bank of Brazil (Banco Central do Brazil), Brazilian investment regulatory body.
We have expertise in elaboration of several business required documents such as letters-of-intent, confidentiality agreements, memorandum, joint venture agreements, shareholder agreements, contract of equity sales, option to equity purchase/sale, share/quota pledge agreements, escrow accounts, among others.
Our experience with legal auditing in privatization of state-run companies, as well as private companies, enables our firm to establish due diligence programs in companies in general, and in acquisition and sale.
We also assist our clients as to shareholder rights and legal defense procedure, when necessary.
